1. Acceptance of These Terms

By accessing or using SkillSyncNL, you agree to these Terms and the Privacy Policy. If you use SkillSyncNL for an organisation or business, you confirm that you have authority to accept these Terms on its behalf. If you do not agree, please do not use the platform.

2. What SkillSyncNL Does

SkillSyncNL is an online marketplace and communication platform. It helps clients discover professionals, view service or profile information, send inquiries, and discuss possible projects or work opportunities.

SkillSyncNL is not a party to any agreement between a client and a professional. It is not an employer, contractor, agent, partner, guarantor, or escrow service for either user. A service relationship is formed only when the relevant client and professional choose to make their own arrangement.

3. Marketplace Nature

Profiles, listings, messages, work requests, and other information help users make contact and evaluate whether to proceed. Users are responsible for their own decisions and for checking whether a proposed arrangement is suitable, lawful, safe, and workable.

Clients and professionals are responsible for agreeing directly on scope, pricing, availability, timelines, deliverables, changes, cancellations, and any other terms of their work.

4. Eligibility and Accounts

• You must be legally able to enter into these Terms and use the platform.
• You must provide information that is accurate and keep it reasonably up to date.
• You are responsible for activity carried out through your account and for keeping your login details reasonably secure.
• You must tell us promptly if you believe your account has been used without permission.
• You must not create an account for another person without their authority or maintain more than one account to evade a restriction.

5. Professional Responsibilities

Professionals are responsible for presenting their own skills, experience, qualifications, service descriptions, prices, locations, availability, portfolio material, and other profile information accurately. Professionals must only accept work they are authorised, qualified, and reasonably able to perform.

Professionals are responsible for complying with licences, registrations, tax obligations, professional standards, consumer requirements, and other laws that apply to their work.

6. Client Responsibilities

Clients should describe their requirements honestly and provide enough information for a professional to decide whether to respond. Clients are responsible for reviewing proposals, clarifying scope and pricing, providing access or materials when agreed, and making their own decision about whether to hire a professional.

7. Accurate Information

Users must not publish misleading, incomplete, copied, or outdated information about their identity, services, pricing, availability, project requirements, results, or relationship with SkillSyncNL. If material information changes, update it or correct it as soon as reasonably possible.

8. Communications and User Agreements

SkillSyncNL may provide tools for clients and professionals to communicate, including masked calling that helps keep phone numbers private. Use these tools only for legitimate platform-related communication; spam, harassment, threats, recording misuse, or attempts to bypass the masking system are prohibited.

Any agreement for services, including its scope, price, timing, quality expectations, refunds, warranties, and completion terms, is made directly between the client and professional. Users should keep records of important arrangements and resolve ordinary service questions directly with the other party first.

9. Payments and Transactions

When available and selected, SkillSyncNL Payments are processed through our payment provider and payment status may be tracked in the platform. Direct UPI payments are made by the customer to the professional using payment details supplied by the professional. They take place outside SkillSyncNL’s managed payment system: SkillSyncNL does not process, receive, hold, verify, or guarantee those transfers. We provide tools to display payment details and record payment claims or confirmations users submit, but cannot independently confirm a bank transfer.

For direct UPI, customers and professionals are responsible for checking the recipient and amount in the UPI app, agreeing on the service terms, and confirming whether payment was received. SkillSyncNL may review a report and take platform action under these Terms, but payment, refund, chargeback, tax treatment, and any resulting financial loss must ordinarily be resolved between the users, subject to applicable law. Users should use appropriate caution and should not send money merely because a person or listing appears on the platform.

10. Prohibited Activities

You must not use SkillSyncNL to:

• commit fraud, scams, theft, money laundering, or other unlawful acts;
• impersonate a person or organisation, create fake profiles, or misrepresent skills, identity, authority, or results;
• send spam, bulk messages, unsolicited advertising, malicious links, or harmful code;
• harass, threaten, abuse, discriminate against, or intimidate another person;
• publish content that is illegal, defamatory, invasive of privacy, sexually exploitative, or otherwise harmful;
• collect, scrape, sell, or misuse another person’s information without permission;
• interfere with the platform, bypass security or moderation, or use it to evade an account restriction; or
• circumvent a platform rule or use SkillSyncNL for a purpose that conflicts with these Terms.

11. Content and Profile Information

You retain responsibility for the text, images, documents, profile details, listings, messages, and other content you submit. You confirm that you have the rights and permissions needed to submit it and that it does not violate these Terms or another person’s rights.

You give SkillSyncNL a limited, non-exclusive permission to host, store, format, display, and distribute your submitted content only as needed to operate, secure, maintain, and improve the platform. We may remove or restrict content that we reasonably believe violates these Terms or applicable law.

12. Intellectual Property

SkillSyncNL and its content, branding, software, layout, and platform features belong to SkillSyncNL or its licensors and are protected by applicable law. Except as allowed by these Terms or law, you may not copy, modify, distribute, reverse engineer, or commercially exploit them without permission.

13. Availability and Changes

We may update, suspend, limit, or discontinue parts of SkillSyncNL, including features and listings, as the platform develops or as needed for maintenance, safety, legal, or operational reasons. We may also correct errors and change these Terms or platform instructions from time to time.

14. Account Restrictions and Termination

We may warn, limit, suspend, or close an account where we reasonably believe there is a violation of these Terms, a safety or security risk, unlawful conduct, misuse of another person’s information, or a need to protect users or the platform. Where practical, we may provide an explanation or an opportunity to resolve the issue.

You may stop using SkillSyncNL at any time. Some information may need to be retained where required by law, needed for security or dispute resolution, or covered by a legitimate operational record.

15. User Disputes

Clients and professionals should first try to resolve disputes directly and in good faith. SkillSyncNL may review reports, take action under these Terms, or provide reasonable platform information where appropriate, but it does not decide the commercial terms of a user-to-user agreement or act as an arbitrator unless expressly agreed in writing.

16. SkillSyncNL’s Role and Liability

SkillSyncNL provides a place for discovery and communication. Users are responsible for evaluating profiles, messages, proposals, work arrangements, and transactions, and for taking precautions appropriate to the situation.

To the extent permitted by applicable law, SkillSyncNL is not liable for a user’s acts or omissions, the content of a user-to-user agreement, the performance or non-performance of services, direct payments between users, or losses arising from a user’s decision to proceed with another user. Nothing in these Terms excludes liability that cannot lawfully be excluded.

17. Indemnification

To the extent permitted by applicable law, you agree to reasonably indemnify and hold harmless SkillSyncNL and its personnel from claims, losses, liabilities, costs, and expenses arising from your breach of these Terms, unlawful conduct, submitted content, or agreement or interaction with another user. This does not require you to indemnify anyone for their own unlawful conduct.

18. Policy Updates

When we make a material change, we may post the revised Terms on this page and update the date above. Continued use after the revised Terms take effect means you accept them. If you do not agree, stop using the platform.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Subject to any mandatory rights or forums available under applicable law, courts with appropriate jurisdiction in Nagaland, India will have jurisdiction over disputes relating to these Terms or the platform.
